Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ecopy ("App," "Service," "we," "us," or "our"), a Shopify application that enables product importing and content optimization.

By installing, accessing, or using Ecopy, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our App.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the App. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms.

To use Ecopy, you must:

• Be at least 18 years of age
• Have a valid Shopify store
• Have the legal capacity to enter into binding contracts
• Comply with all applicable laws and regulations
• Not be prohibited from using our services under applicable laws

By using Ecopy, you represent and warrant that you meet all eligibility requirements.

3.1 Shopify Account

To use Ecopy, you must have an active Shopify account. You are responsible for maintaining the security of your Shopify account credentials and for all activities that occur under your account.

3.2 Accurate Information

You agree to provide accurate, current, and complete information when using our App. You must promptly update any information to keep it accurate and current.

3.3 Account Security

You are responsible for safeguarding your account. You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to maintain account security.

Ecopy provides the following features:

• Product Import: Import products from supported platforms (Amazon, AliExpress, Etsy, eBay, SHEIN, Temu, Alibaba, Zalando, WooCommerce, Wix, and other Shopify stores) to your Shopify store.
• AI Content Rewriting: Automatically rewrite product titles and descriptions using artificial intelligence to create unique content.
• AI Translation: Translate product content into multiple languages.
• Variant Mapping: Automatically detect and map product variants (colors, sizes, etc.).
• Bulk Import: Import multiple products simultaneously.
• Image Import: Transfer product images from source platforms to your Shopify store.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time without prior notice.

You agree to use Ecopy only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Import products that infringe on intellectual property rights, trademarks, copyrights, or patents of others
• Import counterfeit, replica, or unauthorized products
• Import prohibited or restricted items under applicable laws
• Use the App to engage in fraudulent or deceptive practices
• Violate any third-party terms of service (including source platform terms)
• Abuse or overload our systems or infrastructure
• Reverse engineer, decompile, or attempt to extract source code from the App
• Use automated tools (bots, scrapers) to access the App without authorization
• Resell or redistribute the App or its features
• Use the App in any way that could damage, disable, or impair our services
• Violate Shopify's Acceptable Use Policy or Terms of Service

6.1 Product Content Responsibility

You are solely responsible for ensuring you have the legal right to use, import, and sell any product content (titles, descriptions, images, etc.) that you import using Ecopy.

We do not grant you rights to third-party content. The fact that content can be imported does not mean you have permission to use it for commercial purposes.

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your unauthorized use of third-party intellectual property.

6.2 Our Intellectual Property

Ecopy, including its design, code, features, branding, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. This license does not grant you any ownership rights.

7.1 Free Plan

Ecopy offers a free plan with limited features and usage credits. The free plan includes a certain number of AI credits per month.

7.2 Paid Plans

Premium features and additional usage require a paid subscription. Pricing is displayed in the Shopify App Store and within the App.

Payments are processed through Shopify. By subscribing to a paid plan, you authorize Shopify to charge your payment method.

7.3 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you choose. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

7.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases. If you do not agree to a price increase, you may cancel your subscription.

7.5 Cancellation

You may cancel your subscription at any time through your Shopify admin panel. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

Ecopy uses artificial intelligence to rewrite and translate product content. While we strive for accuracy and quality, AI-generated content may contain errors, inaccuracies, or inappropriate language.

You are responsible for reviewing and editing all AI-generated content before publishing it on your Shopify store. We do not guarantee the accuracy, quality, or suitability of AI-generated content for your specific purposes.

You retain ownership of all content created using our AI features, but you acknowledge that AI-generated content may not be entirely original or unique.

Ecopy enables you to import products from third-party platforms. Your use of these platforms is governed by their respective terms of service, which you are responsible for complying with.

We do not control third-party platforms and are not responsible for their availability, content, policies, or practices. Changes to third-party platforms may affect the functionality of Ecopy.

You acknowledge that importing products from third-party platforms does not automatically grant you the legal right to sell those products. You must ensure you have appropriate agreements, licenses, or permissions.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using Ecopy, you consent to our collection and use of your data as described in the Privacy Policy.

11.1 Service "As Is"

ECOPY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• Any errors in the App will be corrected
• The App will meet your specific requirements

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.3 Indemnification

You agree to indemnify, defend, and hold harmless Ecopy, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your use or misuse of the App
• Any products you sell using content imported through Ecopy

12.1 Termination by You

You may terminate your use of Ecopy at any time by uninstalling the App from your Shopify store and canceling your subscription.

12.2 Termination by Us

We reserve the right to suspend or terminate your access to Ecopy at any time, with or without cause or notice, including if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your use of the App poses a security risk
• Your Shopify account is terminated
• Required by law or legal process

12.3 Effects of Termination

Upon termination:

• Your access to the App will be immediately revoked
• You will lose access to any AI credits or unused subscription benefits
• We may delete your data in accordance with our Privacy Policy
• Products already imported to your Shopify store will remain in your store
• All provisions of these Terms that should reasonably survive termination will continue to apply

13.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

13.2 Arbitration

If informal resolution fails, any dispute arising from these Terms or your use of Ecopy will be resolved through binding arbitration, except where prohibited by law.

You and we agree to waive the right to a trial by jury or to participate in a class action.

13.3 Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ecopy regarding the use of the App.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet disruptions.

Ecopy is distributed through the Shopify App Store and is subject to Shopify's terms and policies. You acknowledge that Shopify is not responsible for Ecopy and has no obligations with respect to the App.
